("The Company"). By accessing and using the Services, you agree to be bound by these Terms, thereby establishing a contractual relationship between you and The Company. If you do not agree to these Terms, you are prohibited from accessing or using the Services. These Terms supersede any prior agreements or arrangements between you and The Company. The Company reserves the right to terminate these Terms or any Services in relation to you, or to cease offering access to the Services, at any time and for any reason.

Supplemental Terms

Supplemental terms may apply to certain Services, including but not limited to policies for specific events, activities, or promotions. Such supplemental terms will be disclosed to you in connection with the applicable Services and shall prevail in the event of any conflict with these Terms.

Amendments

The Company may amend these Terms from time to time. Any amendments shall become effective upon posting the updated Terms on The Company’s website. Your continued access to or use of the Services following such posting shall constitute your acceptance and agreement to be bound by the amended Terms.

Personal Information

The collection and use of personal information in connection with the Services is governed by The Company's Privacy Policy. The Company may provide necessary information to claims processors or insurers in the event of a complaint, dispute, or conflict involving you and a third party.

The Services

The Services consist of a technology platform that enables users to rent portable chargers through The Company’s mobile applications or websites (each referred to as an "Application"). The Services, including the portable charger rental software, are provided solely for your personal, non-commercial use unless otherwise agreed upon in a separate written agreement with The Company.

I. License

Subject to your compliance with these Terms, The Company grants you a limited, non-exclusive, non-sublicensable, revocable, and non-transferable license to: Access and use the Applications on your personal device solely in connection with your use of the Services.

Access and use any content, information, and related materials available through the Services strictly for personal, non-commercial purposes.

All rights not expressly granted herein are reserved by The Company and its

licensors.

II. Restrictions

You may not:

Remove any copyright, trademark, or other proprietary notices from any part of the Services.

Reproduce, modify, prepare derivative works, distribute, license, lease, sell, resell, transfer, publicly display, publicly perform, transmit, stream, broadcast, or otherwise exploit the Services, except as expressly permitted by The Company.

Decompile, reverse engineer, or disassemble the Services, except as permitted by applicable law.

Link to, mirror, or frame any portion of the Services.

Launch any programs or scripts for scraping, indexing, surveying, or data mining any portion of the Services or otherwise unduly burden the operation of the Services.

Attempt to gain unauthorized access to or impair any aspect of the Services or its related systems or networks.

You acknowledge that portions of the Services may be available under various brands or request options associated with public portable chargers.

IV. Third-Party Services

The Services may include third-party services and content (including advertising) that The Company does not control. Different terms of use and privacy policies may apply to your use of such third-party services. The Company does not endorse any third-party services and is not liable for any products or services offered by such providers. Additionally, Apple Inc., Google, Inc., and their subsidiaries shall be third-party beneficiaries of these Terms if you access the Services using their applications. These third-party beneficiaries shall not be responsible for providing or supporting the Services.

V. Ownership

All rights to the Services remain with The Company or its licensors. Your use of the Services does not grant you any rights to use The Company’s names, logos, product names, trademarks, or service marks.

VI. Maintenance

The Company is responsible for the maintenance and repair of the portable chargers. However, this does not guarantee that all chargers will always be operational. Users are advised to verify

the integrity and functionality of the chargers prior to use. If you discover that a charger is broken, you must cancel the reservation or cease using it and promptly notify The Company. Continued use of a broken charger shall result in your assumption of responsibility for any resulting issues.

Your Use of the Services

I. User Accounts

To utilize most features of the Services, you must register for and maintain an active personal user account ("Account"). You will be provided with a profile page to update your personal information, including your name, email address, and mobile phone number. You agree to maintain accurate, complete, and up-to-date information in your Account. Failure to do so may result in your inability to access or use the Services, or the termination of these Terms by The Company. You are solely responsible for all activity conducted under your Account and agree to keep your username and password confidential. Unless expressly permitted in writing by The Company, you may only maintain one Account.

II. User Requirements and Conduct

You may not authorize any third parties to use your Account or transfer your Account to any other individual. You agree to comply with all applicable laws and regulations and to use the Services solely for lawful purposes. You will not cause nuisance, annoyance, inconvenience, or property damage to any other party while using the Services. In certain circumstances, you may be required to provide proof of identity to access the Services; refusal to provide such proof may result in denial of access.

ChargeCycle Powerbank Station Inc. (“The Company") may issue promotional codes ("Coupon Codes") that can be redeemed for account credit or other benefits. By using a Coupon Code, you agree to the following terms:

You are solely responsible for obtaining the necessary data network access required to use the Services. Data and messaging rates may apply when accessing the Services from a mobile device, and you shall be responsible for all such charges. Additionally, you are responsible for acquiring and maintaining any hardware or devices necessary to access the Services.

ChargeCycle Power Bank Station Inc. (“The Company") does not guarantee compatibility with any specific hardware or devices. Furthermore, the Services may experience malfunctions or delays that are inherent to Internet and electronic communications.

How the System Works

I. Rental Period

The rental period for the portable charger commences upon unlocking the charger using the mobile application and concludes upon its return. Additional fees will apply if the portable charger is not returned as stipulated.

II. Payment

You acknowledge that the use of the Services may incur charges for the services rendered. Upon completion of your use of the Services, ChargeCycle Power Bank Station Inc. (“The Company") will facilitate the payment of the applicable Charges. These Charges will include any applicable taxes.

A pre-authorization of $35.00 will be held on your payment method at the time of rental and may be released upon the return of the power bank, in accordance with the company's terms. The charges are as follows:

All charges are due immediately and will be deducted from your account balance. You may not transfer your account credit to other users. The expiration date for your account credit will be determined by the Company's policy. The Company may offer promotional discounts that result in varying amounts charged for similar services, and you agree that such offers shall not affect your Charges.

Indemnification

You agree to indemnify and hold the Company harmless from any claims arising out of this Agreement, including breaches of warranties or the operation of the portable charger, even if such claims are caused by the Company's negligence.

The Company reserves the right to assign its rights and obligations under this Agreement at any time without prior notice to you.

VI. No Waiver

The Company's failure to enforce any provision of this Agreement shall not constitute a waiver of that provision or any other part of this Agreement.

VII. Personal Data Protection

For the purposes of this Agreement, "Personal Data" refers to any information that identifies you, including but not limited to your name, identification card number, birth certificate number, passport number, nationality, address, telephone number, credit or debit card details, race, gender, date of birth, email address, and any information you have provided to ChargeCycle Powerbank Station Inc. (“The Company") in registration forms, application forms, or similar documents. This includes any information that the Company may collect, store, use, and process over time, as well as sensitive personal data related to health, religious beliefs, or similar matters.

VIII. Provision and Processing of Personal Data

The provision of your Personal Data is voluntary. However, if you elect not to provide such information, your application may be deemed incomplete, and the Company may be unable to process your Personal Data for the purposes outlined herein. Such a failure may hinder your ability to utilize the services offered by ChargeCycle Powerbank.

The Company may collect, use, and process your Personal Data for its legitimate business activities, which may include, but are not limited to, the following purposes (collectively referred to as the "Purpose"):

If you do not consent to the Company processing your Personal Data for any of the purposes outlined above, please notify the Company using the support details provided in the application. Should any of the Personal Data you have provided change (for instance, if you change your email address, telephone number, payment details, or if you wish to cancel your account), you are required to update your information by submitting your request to the support contact details provided in the application.

By submitting your Personal Data to the Company, you provide your explicit consent for the use of that information as set forth in this notice and in the Terms of Use.

IX. Third-Party Interactions

During your use of the Service, you may engage in correspondence with, purchase goods and/or services from, or participate in promotions offered by third-party providers, advertisers, or sponsors that display their goods and/or services through the Service, Software, and/or Application. Any such activity, including any terms, conditions, warranties, or representations associated with it, is solely between you and the applicable third party. ChargeCycle Powerbank Station Inc. (“The Company") and its licensors shall bear no liability, obligation, or responsibility for any correspondence, purchase, transaction, or promotion between you and any such third party.

The Company does not endorse any applications or websites on the Internet that may be linked through the Service, Application, and/or Software. In no event shall the Company, its licensors, or the Group be liable for any content, products, services, or other materials available from such sites or third-party providers.

The Company provides the Service to you pursuant to the Terms of Use. However, you acknowledge that certain third-party providers of transportation, goods, and/or services may require you to agree to additional or different Terms of Use prior to your use of or access to such
goods or services. The Company is not a party to, and expressly disclaims any responsibility or liability arising from, such agreements between you and third-party providers. The Company may utilize third-party advertising and marketing supplied through the Service and other mechanisms to subsidize the Service and/or generate additional revenue. By agreeing to the Terms of Use, you consent to receive such advertising and marketing communications. If you do not wish to receive such advertising, you must notify us in writing or follow the procedure established by the Company.

The Company reserves the right to impose a higher fee for the Service or deny you access to the Service should you opt not to receive these advertising services. Any applicable higher fee will be posted on the Company’s website.

You agree to permit the Company to compile and release information concerning you and your use of the Service on an anonymous basis as part of a customer profile or similar report or analysis. You acknowledge that it is your sole responsibility to exercise due diligence in all actions and interactions with any third-party transportation providers, other third-party providers, advertisers, and/or sponsors with whom you engage through the Service and/or any advertising or marketing material provided therein.

If you encounter any issues while using the power bank, you may report these problems through the application by selecting the customer services option. We encourage you to submit your comments and feedback. Additionally, you may contact us via email at info@chargecyclepower.com.

Disclaimers; Limitation of Liability; Indemnity

I. Disclaimer

The services are provided on an "as is" and "as available" basis. chargecycle powerbank station inc. disclaims all representations and warranties, whether express, implied, or statutory, not expressly set forth in these terms, including, but not limited to, the implied warranties of merchantability, fitness for a particular purpose, and non-infringement. Furthermore, the company makes no representation, warranty, or guarantee regarding the reliability, quality, suitability, or availability of the services or any goods or services requested through the use of the services. The company does not warrant that the services will be uninterrupted or error-free. You acknowledge and agree that the entire risk arising out of your use of the services, including any goods or services requested in connection therewith, remains with you, to the fullest extent permitted by applicable law.

II. Limitation of Liability

Chargecycle powerbank station inc. shall not be liable for any indirect, incidental, special, exemplary, punitive, or consequential damages, including but not limited to lost profits, lost data, personal injury, or property damage arising out of or in connection with any use of the services, except for those damages directly resulting from the company’s gross negligence or willful misconduct. The company shall not be liable for any damages, liabilities, or losses arising out of your use of or reliance on the services or your inability to access or use the services, even if the company has been advised of the possibility of such damages. Further, the company shall not be liable for delays or failure in performance due to causes beyond the company's reasonable control. The limitations and disclaimers set forth in this section shall not limit liability or alter your rights as a consumer that cannot be excluded or limited under applicable law.

You agree to indemnify and hold ChargeCycle Powerbank Station Inc. and its officers, directors, employees, and agents harmless from any and all claims, demands, losses, liabilities, and expenses (including attorneys' fees) arising out of or in connection with: (i) your use of the services or goods obtained through your use of the services; (ii) your breach or violation of any of these terms; or (iii) your violation of the rights of any third party, including injuries in accidents.

Governing Law and Arbitration

Except as otherwise specified in these Terms, these Terms shall be exclusively governed by and construed in accordance with the laws of the local jurisdiction. Any disputes arising under or in connection with these Terms shall be subject to binding arbitration in accordance with the applicable rules of arbitration in the local jurisdiction.

I. Notice

The Company may provide notice to you through a general notice on the services or by sending text (SMS) messages. You may provide notice to the Company by sending a written communication to info@chargecyclepower.com.

II. General

You may not assign or transfer these Terms, in whole or in part, without the prior written consent of the Company. You hereby grant the Company the right to assign or transfer these Terms, in whole or in part, including but not limited to assignments to: (i) a subsidiary or affiliate; (ii) an acquirer of the Company's equity, business, or assets; or (iii) a successor by merger. Nothing in these Terms shall create any joint venture, partnership, employment, or agency relationship between you and the Company.

If any provision of these Terms is determined to be illegal, invalid, or unenforceable, in whole or in part, under any applicable law, such provision shall be deemed severed from these Terms to the extent of such illegality, invalidity, or unenforceability, without affecting the legality, validity, or enforceability of the remaining provisions. In such an event, the parties agree to substitute the illegal, invalid, or unenforceable provision with a provision that is legal, valid, and enforceable and that achieves, to the greatest extent possible, the original intent and purpose of these Terms.

These Terms constitute the entire agreement between the parties concerning the subject matter hereof and supersede all prior or contemporaneous agreements or understandings regarding such subject matter. In these Terms, the terms "including" and "include" shall mean "including, but not limited to."
